Terms & Commercial Conditions

1. Commercial Scope & Applicability

These Terms and Conditions govern all wholesale inquiries, Proforma Invoices, OEM contract manufacturing agreements, and export shipments executed by Kiyan Export & Herbal Manufacturing (Lucknow, UP, India) for international buyers, importers, and brand clients. By requesting a commercial quotation (RFQ) or executing a purchase order, the buyer agrees to these professional standards.

2. Minimum Order Quantity (MOQ) & Pricing Tiers

As a direct factory manufacturer, wholesale volume tiers apply to all commercial orders:

• Standard Catalog MOQ: Typically 100 units/bottles/pouches for standard herbal formulations and Shilajit resin.
• OEM Custom Formulation / Custom Label MOQ: Starting from 500 to 1,000 units depending on packaging format (bottles, blister packs, sachets, custom printed tins).
• Quotation Validity: Official Proforma Invoices issued in USD ($) remain valid for 30 calendar days from the date of issuance.

3. International Shipping Terms & Incoterms

We execute global deliveries under International Commercial Terms (Incoterms 2020):

• Air Express (DHL / FedEx): 3 to 7 business days delivery directly to your facility or Amazon FBA warehouse.
• FOB (Free on Board): Delhi Airport (DEL), Mundra Port, or Nhava Sheva (JNPT) Mumbai.
• CIF (Cost, Insurance & Freight): Delivered to buyer's designated international sea port (e.g. Los Angeles, New York, Hamburg, Jebel Ali).
• DDP (Delivered Duty Paid): Available for select US and European corporate destinations with customs clearance and import duties handled.

4. Quality Assurance, COA & Lab Testing Warranty

Every commercial batch produced in our WHO-GMP and ISO 22000 cleanrooms undergoes rigorous multi-stage analytical quality control. We guarantee that all dispatched products are accompanied by an authentic batch Certificate of Analysis (COA) verifying:

• Active constituent assay percentages via HPLC testing (e.g. Fulvic Acid in Shilajit, Withanolides in Ashwagandha).
• Heavy metal compliance (Lead, Arsenic, Cadmium, Mercury) strictly below USP / California Proposition 65 thresholds.
• Microbiological purity (Total Plate Count, Yeast & Mold, E. Coli, Salmonella negative).

5. Sample Kits Policy

Prospective commercial clients may request evaluation sample kits. Sample production fees and express courier charges are fully credited against the buyer's first full commercial production order.

6. Governing Law & Jurisdiction

All international commercial agreements are governed under the Indian Export-Import (EXIM) Policy, the Directorate General of Foreign Trade (DGFT), and international arbitration standards.
